By accessing or using VIZADZ ('the Service'), you agree to be bound by these Terms of Service. If you do not agree, do not use the Service.
We may revise these Terms at any time by posting an updated version. Continued use of the Service constitutes acceptance of the revised Terms.
You must be at least 13 years old to create an account. Some categories (e.g. nightlife or alcohol-related offers) require you to be 18+ or the legal age in your jurisdiction.
You are responsible for maintaining the confidentiality of your account credentials.
Paid plans (VIP, Business) renew automatically on a monthly cadence until cancelled. One-time purchases (such as 3-Day Spotlight) are charged once at the time of purchase.
All prices are in US dollars and may be subject to applicable taxes. We use Stripe to process payments and never store your full card number on our servers.
You can cancel a subscription at any time from your Account → Manage subscription. Your access continues until the end of the current billing period.
When a VIZseller publishes an offer with an 'Expected claims' value, they are making a binding promissory commitment to honor that volume of VIZcodes. Once active claims (Claimed + Redeemed) cross the commit threshold (default 50% of expected, seller-tunable), the offer becomes committed and force-cancellation triggers the Trust Promise.
By submitting a committed offer, the VIZseller IRREVOCABLY AUTHORIZES VIZADZ to auto-bill, via Stripe and against the payment method on file, a 1% Trust Fee (calculated as offer face value × number of locked claims) at the moment of force-cancellation. This fee is the platform penalty for dishonoring promissory notes issued to VIZbuyers. The Trust Fee is NON-REFUNDABLE, NON-NEGOTIABLE, and is not eligible for chargeback dispute — initiating a chargeback against a Trust Fee constitutes a material breach of these Terms and grounds for immediate account suspension.
In parallel, every affected VIZbuyer receives an automatic courtesy code (10–15% off their next visit to the same merchant, capped at $20–$35 by category, valid 60–90 days). The merchant honors the courtesy code at their own POS. VIZADZ does not hold escrow or transmit cash to or from VIZbuyers.
VIZADZ exists to protect the trust between local merchants and their neighborhoods. The Trust Fee mechanism is what keeps the platform credible — to our users, to investors, and to the broader local-discovery economy. Repeated force-cancellations may result in reduced placement, removal of trust badges, escalating platform fees, or — in egregious cases — account suspension. VIZADZ retains sole discretion to waive Trust Fees in cases of documented merchant emergency (e.g. natural disaster, death of operator), reviewed case-by-case via the Trust Fee Ledger.
Below the commit threshold, cancellation is free of trust-fee charges. Open claim holders are still notified and may release their slot without penalty.
Subscription refunds and one-time purchase refunds are governed by our Refund Policy. Please review it carefully.
You retain ownership of content you post (offers, reviews, comments, images). By posting it on VIZADZ you grant us a non-exclusive, worldwide, royalty-free licence to display and distribute that content within the Service.
You may not post content that is unlawful, defamatory, infringing, hateful, or violates someone else's rights.
You agree not to: (a) reverse engineer or scrape the Service, (b) post fraudulent offers, (c) impersonate another person or business, (d) interfere with the operation of the Service, or (e) use the Service for spam.
We may suspend or terminate your account for any violation of these Terms. You may delete your account at any time from Account → Danger zone.
The Service is provided 'as is' without warranties of any kind, express or implied. We do not guarantee that the Service will be uninterrupted or error-free.
To the maximum extent permitted by law, VIZADZ and its affiliates are not liable for any indirect, incidental, consequential or special damages arising from your use of the Service.
These Terms are governed by the laws of the Province of Ontario, Canada, without regard to its conflict of law principles.
